Terms and Conditions

 

Firemec Ltd – Terms and Conditions of Business

1. Definitions

  • “Company” means Firemec Ltd.
  • “Client” means the person, company or organisation engaging Firemec Ltd.
  • “Services” means fire suppression system design services including, but not limited to:
    • Residential Sprinkler Systems (BS 9251:2021)
    • Dry Riser Systems (BS 9990:2015)
    • Water Mist Systems (BS 8458:2015)
  • “Deliverables” means drawings, calculations, reports, specifications, and related documentation produced by Firemec Ltd.


2. Scope of Services

2.1 Firemec Ltd provides design-only services unless expressly agreed in writing.
2.2 All Services are undertaken in accordance with the relevant British Standards listed above, subject to the information provided by the Client and third parties.
2.3 Firemec Ltd does not provide installation, construction, certification, commissioning, or contractor supervision unless separately agreed in writing.


3. Design Use Limitation 

3.1 All drawings, designs, calculations, and documentation provided by Firemec Ltd are issued for CONCEPTUAL PURPOSES ONLY.
3.2 They are NOT INTENDED FOR CONSTRUCTION OR INSTALLATION, unless expressly agreed in writing.
3.3 Final system design, coordination, installation, certification, and commissioning must be carried out by a suitably licensed, qualified, and competent professional or contractor.
3.4 The Client acknowledges that:

  • The Designer bears no responsibility for errors, omissions, or issues arising from the use or misuse of the design.
  • Firemec Ltd accepts no liability for reliance placed upon the Deliverables for construction, installation, or regulatory approval purposes.


4. Client Responsibilities

4.1 The Client shall:

  • Provide accurate, complete, and timely information.
  • Ensure all drawings are reviewed by competent professionals.
  • Obtain all statutory approvals (Building Control, Fire Authority, Insurers, etc.).
    4.2 Firemec Ltd shall not be liable for delays or errors caused by incorrect or incomplete information supplied by the Client or third parties.


5. Fees and Payment Terms

5.1 Fees shall be as agreed in writing or as set out in the Company’s quotation.
5.2 Payment terms are strictly 30 days from the invoice date.
5.3 Late payments may, at Firemec Ltd’s discretion, accrue interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5.4 Firemec Ltd reserves the right to suspend Services for non-payment without liability.


6. Limitation of Liability

6.1 To the fullest extent permitted by law:

  • Firemec Ltd shall not be liable for any indirect, consequential, or economic losses, including loss of profit, delay damages, or business interruption.
  • Firemec Ltd shall not be liable for any late charges, penalties, damages, or claims arising from project delays, third-party actions, regulatory decisions, or construction issues.
    6.2 Firemec Ltd’s total liability (if any) shall be limited to the value of the fees paid for the specific Services giving rise to the claim.


7. No Warranty or Guarantee

7.1 Firemec Ltd provides no warranty that designs will be approved by authorities, insurers, or third parties.
7.2 Compliance with British Standards does not guarantee regulatory acceptance or fire authority approval.


8. Intellectual Property

8.1 All Deliverables remain the intellectual property of Firemec Ltd unless otherwise agreed in writing.
8.2 The Client is granted a non-transferable, non-exclusive licence to use the Deliverables solely for the project identified.
8.3 Reuse, reproduction, or modification without written consent is prohibited.


9. Termination

9.1 Either party may terminate the agreement in writing.
9.2 Fees for work completed up to the termination date shall remain payable in full.


10. Confidentiality

10.1 Both parties agree to keep confidential all commercially sensitive or proprietary information unless disclosure is required by law.


11. Force Majeure

Firemec Ltd shall not be liable for failure or delay caused by events beyond its reasonable control, including acts of God, regulatory delays, or third-party failures.


12. Governing Law and Jurisdiction

12.1 These Terms and Conditions are governed by the laws of England and Wales.
12.2 The courts of England and Wales shall have exclusive jurisdiction.


13. Acceptance

Engagement of Firemec Ltd’s Services constitutes acceptance of these Terms and Conditions in full.
